Typical commercial agency contract ICC (published ICC number 644 )
In discussing the conditions of agency agreements one of the major problems faced by contractors, is the lack of common rules for agreements of this type. Since there is no internationally agreed uniform laws on the subject ( as opposed to, for example, contracts for the international sale of goods ) , the parties often have to rely on national laws that do not take into account the specific needs of international trade and differ considerably in different jurisdictions.
By developing a standard form of commercial agency contract, the ICC Working Group sought to find a fair and balanced solution to the major problems that arise in an agency relationship . Due to the fact that you can not create the same rules for all counterparties while taking the law in different countries (which may be diametrically different from each other) , the Model ICC commercial agency contract may contain some items that do not meet certain mandatory provisions (mandatory provisions) the specific the legal system. However, due to the fact that the model contract meets the basic principles of national laws in an agency relationship , almost completely eliminating the risk of conflict with the rules of public policy that are used regardless of the applicable law.
